This End-User Imagery License Agreement (“Agreement”) governs Your use of Pixxel Imagery acquired from Pixxel Space Technologies, Inc. (“Pixxel”) through their platform “Aurora” (“Platform”). By using any Imagery, You certify that You have read this Agreement and agree to its terms and conditions on behalf of Yourself or the entity that You represent. If You do not agree to these terms and conditions or do not have the authority, do not use the Imagery and permanently delete or destroy any Imagery in Your possession.
Except as set forth in this Agreement, You shall not, without Pixxel’s prior written permission:
Except as set forth in section 6, the imagery is licensed to you on an “as is,” “as available” and “with all faults” basis without any warranty whatsoever. Pixxel does not warrant that the imagery will meet your needs or expectations, that transmission of, or access to, the imagery will be error free or uninterrupted or that all non-conformities can or will be corrected. Pixxel, its licensors and their respective affiliated companies expressly disclaim all warranties, express or implied, not stated herein, including without limitation, warranties of merchantability or fitness for a particular purpose, and any warranty as to the accuracy, completeness, reliability, timeliness or usefulness of the imagery.
Any imagery made available through the Platform that is not owned or licensed by Pixxel ("Third-Party Imagery") is subject to the separate end user license agreements or terms of use provided by the respective third-party provided which can be found here. It is your responsibility to review and comply with any applicable third-party terms governing the use of such imagery. Pixxel disclaims all responsibility for the content, licensing, and use of Third-Party Imagery.
In no event will Pixxel, its licensors or their respective affiliates be liable to you or any third party for any indirect, special, punitive, incidental or consequential damages (including loss of profits) under any theory of liability, including copyright infringement, even if Pixxel, its licensors or their respective affiliates have been advised of the possibility of such damages. Pixxel’s liability shall be limited in the aggregate to your direct damages, not to exceed the amount of the fees you paid for the imagery.
No third party is entitled to rely on the imagery for any purpose without Pixxel’s express prior written consent. The imagery does not constitute advice and should not be used as a substitute for advice from a competent professional. You should not act (or refrain from acting) based on the imagery without independently verifying the imagery and, as necessary, obtaining professional advice regarding your particular facts and circumstances.
You agree to indemnify and hold harmless Pixxel, its affiliates, directors, officers, employees, and agents from and against any and all third party liabilities, losses, damages, claims, demands, costs, or expenses (including reasonable attorneys’ fees) resulting directly or indirectly from Your use of the Imagery or Your violation of this Agreement.
You agree that You will not directly or indirectly transfer the Imagery to any prohibited country or individual under the International Traffic in Arms Regulations, the U.S. Export Administration Act and the regulations issued thereunder or by U.S. statutory economic sanctions programs. You agree to comply with all applicable foreign, federal, state and local laws with respect to Your use of the Imagery. You agree not to aggregate Imagery in any way that would infringe on an individual’s privacy rights.
Pixxel reserves the right to change, modify, or update this Agreement at any time for any reason. Your continued use of the Imagery after Pixxel provides You notification of a change, modification, or update constitutes Your acceptance of and agreement to the new Agreement.
This Agreement and Your license to Imagery automatically terminates if You fail to comply with any provision of this Agreement or voluntarily return the Imagery to Pixxel. Within thirty (30) days of notification of termination, You agree to return the Imagery to Pixxel and certify in writing that all copies of the Imagery, including backup copies, have been permanently destroyed. All provisions relating to proprietary rights and transfer prohibitions shall survive termination of this Agreement.
This Agreement shall be governed by and construed under the laws of the Republic of India. without regard to its conflict of laws principles. The parties consent to the sole and exclusive jurisdiction of the courts of Bengaluru, India for any suit, action or proceeding arising out of or relating to this Agreement or the parties’ performance hereunder. This Agreement contains the entire understanding of the parties with respect to matters covered and may be modified only in writing with signature by both parties. Each provision of this Agreement shall be treated as a separate and independent clause. If one or more provision is held to be unenforceable at law, such provision(s) shall be construed as enforceable to the maximum extent possible. A delay, failure, or forbearance by Pixxel to enforce its rights under this Agreement is not and shall not be deemed to be a waiver of those rights in other circumstances or an amendment of this Agreement.
