Aurora End-User License Agreement

Introduction

This  End-User  License  Agreement  (“Agreement”)  governs  Your  use  of  the  Aurora  Platform (“Platform”)  and  its  related  Services  provided  by  Pixxel Space Technologies, Inc. (“Pixxel”).  By using  the  Platform  or  any  of  its  Services,  You  (individual  or,  if  you  are  accepting  this Agreement  on behalf of an entity you represent, the entity) certify that You have read this Agreement and agree to its terms  on  behalf  of Yourself  or  the  entity  that  You  represent.  If You  do  not  agree  to  these  terms  and conditions or do not have the authority to do so, you are required to cease all use of the Platform and its Services.

1. License Grant

1. Subject  to  the  terms  and  conditions  of  this Agreement,  Pixxel  grants  to  You  a  limited,  non-exclusive, non-transferable, non-assignable, revocable license to use the Platform subject to Section 2 and for no other purpose. All rights and licenses not expressly granted herein are expressly reserved by Pixxel.
2. You  understand  and  agree  Your  license  is  subject  to  Pixxel’s  rights  and  obligations  under applicable U.S. laws and without limitation, all other applicable laws and regulations.
3. Unless  otherwise  agreed  upon  in  writing  between  You  and  Pixxel,  You  will  be  granted  a Commercial  Single  Entity  license  type  for  the  use  of  Pixxel  imagery  ordered  through  the Platform.

2. Restricted Use

Any use of the Platform that is not expressly permitted under this Agreement shall be deemed a Restricted Use. If You engage in any such Restricted Use, Pixxel may suspend or  permanently  delete  Your  account  and  any  associated  user  privileges.  Furthermore,  Pixxel reserves the right to report such users and  disclose any relevant information,  including personal data, to law enforcement or other legal authorities, as permitted by applicable law.

3. Platform Ownership

Pixxel  owns  all  right,  title  and  interest  in  and  to  the  Platform. Additionally, You understand and agree that that Pixxel may, in accordance with its Privacy Policy, retain copies of any or all information it collects for any purpose.

4. Disclaimer

Except as set forth in section 5, the Platform and its Services are provided to you on an “as is,” “as available” and “with all faults” basis without any warranty, not provided for under the  Platform’s  Terms  and  Conditions.  Pixxel  does  not  warrant  that  the  Platform  or  its  related Services will meet your needs or expectations, that transmission of, or access to, the Platform will be  error  free or uninterrupted  or  that  all  non-conformities can or  will be corrected.  Pixxel  and  its affiliated companies expressly disclaim all warranties, express or implied, not  expressly provided for including without limitation, warranties of merchantability or fitness for a particular purpose, and any warranty as to the accuracy, completeness, reliability, timeliness or usefulness of the Platform.

5. Limitation of Liability

In no event will Pixxel, or its affiliates be liable to you or any third party for  any  indirect,  special,  punitive,  incidental  or  consequential  damages  (including  loss  of  profits) under  any  theory  of  liability,  including  copyright  infringement.  Pixxel’s  liability  shall  be  limited  in accordance with the framework laid down under the Platform’s Terms and Conditions.

6. Indemnification

You  agree  to  indemnify  and  hold  harmless  Pixxel,  its  affiliates,  directors, officers, employees, and agents from and against any and all third party liabilities, losses, damages, claims,  demands,  costs,  or  expenses  (including  reasonable  attorneys’  fees)  resulting  directly  or indirectly from Your use of the Platform or Your violation of this Agreement.

7. Compliance with Laws

You agree that You will not directly or indirectly utilise the Platform or its related Services for any unlawful or prohibited acts under applicable laws. You agree to comply with all applicable foreign, federal, state and local laws with respect to Your use of the Platform.

8. Modifications

Pixxel  reserves  the  right  to  change,  modify,  or  update  this Agreement  at  any time for any reason. Your continued use of the Platform after Pixxel provides You notification of a change,  modification,  or  update  constitutes  Your  acceptance  of  and  agreement  to  the  new Agreement.

9. Termination

This  Agreement  and  Your  license  to  utilise  the  Platform  and  its  Services automatically terminates if You fail to comply with any provision of this Agreement. Sections 4, 5, 6 and 7 shall survive termination of this Agreement.

10. Miscellaneous

This Agreement  shall  be  governed  by  and  construed  under  the  laws  of  the State  of  California  without  regard  to  its  conflict  of  laws  principles.  Unless  agreed  to  in  writing between  You  and  Pixxel,  this  Agreement  contains  the  entire  understanding  of  the  parties  with respect to matters covered. Each provision of this Agreement shall be treated as a separate and independent clause. If one or more provision is held to be unenforceable at law, such provision(s) shall be construed as enforceable to the maximum extent possible. A delay, failure, or forbearance by Pixxel to enforce its rights under this Agreement is not and shall not be deemed to be a waiver of those rights in other circumstances or an amendment of this Agreement.
